Beneficial Ownership Report (Schedule 13D) SEC Filing API

Schedule 13D is the beneficial ownership report that any person or group acquiring more than 5% of a class of registered voting equity securities must file with the SEC, when the acquirer is not a passive investor. The filing discloses the acquirer's identity, source of funds, purpose of the acquisition, and any plans to influence control of the issuer. As of the SEC's 2024 rule update, initial 13D filings are due within 5 business days of crossing the 5% threshold. 13D filings are the primary signal of activist investor campaigns and pending control transactions. The SEC Filing API returns 13D filing URLs and dates for any public company by ticker.

https://api.api-ninjas.com/v1/sec

Returns a list of 13D SEC filings (including the submission URL) for the given company. Set filing=13D to search for 13D filings.

Parameters

  • ticker  required

    Ticker symbol of the company to search (e.g. TWTR).

  • filing  required

    SEC filing form type. Use 13D to search for 13D filings. See the full SEC API documentation for the complete list of supported form types.

  • start  optional premium only

    Start date to search. Must be in YYYY-MM-DD format (e.g. 2023-04-01).

  • end  optional premium only

    End date to search. Must be in YYYY-MM-DD format (e.g. 2023-04-01).

  • limit  optional premium only

    Number of results to return from 1 to 100. By default, up to 2 results are returned.
