Terms of Service

Welcome to API Ninjas. These Terms of Service ("Terms" or "Agreement") govern your access to and use of the API Ninjas services, including our application programming interfaces, documentation, and related services (collectively, the "Services").
By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use the Services.
1. DEFINITIONS
The following definitions apply throughout this Agreement:
"Account" means your registered account to access and use the Services.
"API" means an application programming interface provided by API Ninjas as part of the Services.
"API Key" means the unique authentication credential issued to you for accessing the APIs.
"API Ninjas," "we," "us," or "our" means API Ninjas, the provider of the Services.
"API Request" means each call made to our APIs using your API Key.
"Customer Application" means any software application or service that you develop and integrate with our APIs.
"Documentation" means the technical specifications, guides, and instructions for using the Services available at api-ninjas.com.
"Output" means any data, content, or information returned by our APIs in response to your API Requests.
"Subscription Plan" means the pricing tier you select (Free, Developer, Business, Professional, or Enterprise), each with specific usage limits, features, and pricing.
"Usage Limits" means the maximum number of API Requests and other restrictions applicable to your Subscription Plan.
"You," "your," or "Customer" means the individual or entity accepting these Terms.
2. ACCEPTANCE OF TERMS
2.1 Agreement to Terms
By creating an Account, clicking "I Accept," or accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.
2.2 Eligibility
You must be at least 18 years old to use the Services. By accepting these Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.
2.3 Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email to the address associated with your Account or through prominent notice on our website. Your continued use of the Services after such notice constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you must stop using the Services and cancel your Account.
3. COMMERCIAL USE
3.1 Free Plan Restrictions
If you are using the Free Subscription Plan, you may use the Services and Output solely for personal, non-commercial purposes and for development, testing, or evaluation of your Customer Applications. You may NOT:
1. Use the Services or Output in any commercial environment.
2. Use the Services or Output in any commercial product, service, or application, whether internal or external
3. Share, distribute, or make available any Output or content from the Services to any third party in any form
3.2 Paid Subscription Plan Permissions
Commercial use of the Services or Output is permitted while your paid Subscription Plan remains active.
Once your paid Subscription Plan ends or is canceled, you must immediately cease all commercial use of the Services and Output, and you may not continue to display, use, or provide Output in your commercial applications, products, or to your clients.
Notwithstanding the foregoing, you may not redistribute or resell the underlying raw Output, except as part of permitted display or analysis as described above, and only during an active paid Subscription Plan.
3.3 Prohibited Uses (All Subscription Plans)
You are strictly prohibited from using any information or Output from the Services to develop, train, maintain, or operate any API, software, database, or service that competes with API Ninjas—regardless of whether it is available on our platform or elsewhere. This prohibition extends to repackaging, redistributing, or making the Output or data accessible in any way that would compete with or substitute for our Services.
Violation of this prohibition and any other terms of these Terms is strictly prohibited and may result in the immediate termination of your account and legal action. If you are unsure whether your intended use is permitted, please contact us at info@api-ninjas.com for clarification.
4. PRICING AND PAYMENT TERMS
4.1 Subscription Plans and Fees
Current pricing for our Subscription Plans is published at our pricing page. By subscribing to a paid plan, you agree to pay the fees associated with that plan at the frequency you selected (monthly or annual).
4.2 Billing and Payment
We accept the following forms of payment via Stripe:
- Visa
- Mastercard
- American Express
- Discover
- PayPal
Recurring billing: By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis at the start of each billing period.
Billing cycle: Monthly plans are billed monthly from your subscription date. Annual plans are billed annually.
Failed payments: If payment fails, we will attempt to process the charge again. If payment continues to fail, your subscription will be canceled.
4.3 Refunds
All purchases are non-refundable. We do not provide refunds or credits for partial subscription periods, unused API Requests, or plan downgrades. You may cancel your subscription at any time.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Our Intellectual Property
API Ninjas retains all right, title, and interest in and to the Services, including all APIs, Documentation, software, content, trademarks, logos, and other intellectual property ("API Ninjas IP"). These Terms do not grant you any ownership rights in API Ninjas IP.
The Services are protected by copyright, trademark, and other intellectual property laws of Canada and international treaties. All rights not expressly granted are reserved.
5.2 Your Content and Applications
You retain all right, title, and interest in your Customer Applications and any content you submit through the Services. You grant us a limited license to use such content solely as necessary to provide the Services to you.
5.3 Output Ownership
Subject to our intellectual property rights in the underlying APIs and data, you own any Output generated through your authorized use of the Services. You may use Output in your Customer Applications in accordance with these Terms.
5.4 Restrictions on Use
You may not:
1. Use our trademarks, logos, or branding without prior written consent
2. Represent that you are affiliated with or endorsed by API Ninjas without authorization
3. Use the Services to create a substantially similar competitive product
5.5 Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without any obligation to you.
6. DATA PRIVACY AND PROTECTION
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. PROHIBITED USES
You agree NOT to use the Services for any purpose that:
7.1 Illegal or Harmful Activities
1. Violates any applicable law, regulation, or third-party rights
2. Promotes or facilitates illegal activities
3. Distributes malware, viruses, or harmful code
4. Engages in fraud, deception, or misrepresentation
5. Harasses, threatens, or harms individuals or groups
7.2 Service Interference
1. Interferes with, disrupts, or damages the Services or servers
2. Attempts to gain unauthorized access to any systems or networks
3. Probes, scans, or tests vulnerabilities without authorization
4. Conducts denial-of-service attacks or similar activities
5. Circumvents security measures, authentication, or Usage Limits
7.3 Commercial Misuse
1. Resells, redistributes, or sublicenses API access without authorization
2. Creates competing products or services using our APIs
3. White-labels or rebrands Output as your own data source
4. Uses the Free plan for commercial purposes
5. Shares or transfers API Keys to unauthorized parties
7.4 Content Violations
1. Generates, distributes, or promotes content that is unlawful, defamatory, obscene, or otherwise objectionable
2. Infringes intellectual property rights of others
3. Violates privacy rights or data protection laws
4. Spreads misinformation or engages in manipulation
We reserve the right to investigate violations and take appropriate action, including suspending or terminating your Account, reporting to law enforcement, and pursuing legal remedies.
8. DISCLAIMERS
8.1 "As Is" and "As Available" Provision
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES, INCLUDING THE SITE, APIS, OUTPUT, AND ANY CONTENT, WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, API NINJAS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
API NINJAS MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES, OUTPUT, DOCUMENTATION, THE SITE’S CONTENT, OR THE CONTENT OF ANY WEBSITES LINKED TO FROM THE SERVICES, AND WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY:
1. ERRORS, MISTAKES, OR INACCURACIES OF OUTPUT, CONTENT, OR MATERIALS;
2. PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICES;
3. ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN;
4. ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES;
5. ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES OR SITE BY ANY THIRD PARTY;
6. ANY ERRORS OR OMISSIONS IN ANY CONTENT, MATERIALS, OR OUTPUT, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT, MATERIALS, OUTPUT, OR DATA POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.
API NINJAS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES, SITE, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND ANY THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.
9. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
10. INDEMNIFICATION
10.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless API Ninjas and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
1. Your use of the Services or Output
2. Your Customer Applications
3. Your breach of these Terms
4. Your violation of any applicable law or third-party rights
5. Any content or data you submit through the Services
6. Disputes with your end users or customers
10.2 Procedure
We will provide you with prompt notice of any claim subject to indemnification. You shall have control over the defense and settlement of such claims, provided that you may not settle any claim that imposes obligations on us without our prior written consent.
11. TERM AND TERMINATION
11.1 Termination by You
You may cancel your subscription and terminate your Account at any time through your Account settings or by contacting us at info@api-ninjas.com.
11.2 Termination by Us
We may suspend or terminate your access to the Services immediately and without prior notice if:
1. You breach any provision of these Terms
2. We are required to do so by law
3. Your use poses a security risk to us or our users
4. Your Account has been inactive for an extended period
5. We reasonably believe you are engaged in fraudulent or illegal activity
11.3 Effect of Termination
Upon termination:
1. Your license to use the Services immediately terminates
2. Your API Key will be revoked
3. You must immediately cease all use of the Services and Output
4. We may delete your Account data after 60 days
5. You remain liable for any fees accrued before termination
11.4 No Refund Upon Termination
No refunds will be provided for any unused portion of your subscription period upon termination, whether initiated by you or by us.
12. GOVERNING LAW
12.1 Applicable Law
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.
12.2 Jurisdiction
Subject to Section 13, you agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada for the resolution of any disputes arising from these Terms or the Services.
13. DISPUTE RESOLUTION
13.1 Informal Resolution
Before initiating any formal proceedings, you agree to first contact us at info@api-ninjas.com and attempt to resolve the dispute informally for at least 30 days. We will attempt to resolve the dispute through good-faith negotiations.
13.2 Formal Proceedings
If the dispute cannot be resolved informally, either party may initiate formal proceedings in the courts of British Columbia, Canada, as specified in Section 12.2.
13.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE TO RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS ONLY. You waive any right to participate in a class action, collective action, or representative proceeding against API Ninjas.
13.4 Time Limitation
Any claim arising from these Terms or the Services must be brought within one (1) year after the cause of action arises, or such claim shall be permanently barred.
14. GENERAL PROVISIONS
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and API Ninjas regarding the Services and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by API Ninjas.
14.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their successors and assigns.
14.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet failures, or pandemic. This provision does not excuse your obligation to pay fees.
14.6 Independent Contractors
The relationship between you and API Ninjas is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
14.7 Notices
Notices to you will be sent to the email address associated with your Account. Notices to us should be sent to info@api-ninjas.com. Notices are deemed received when sent by email (if no bounce-back is received) or three business days after mailing if sent by postal mail.
14.8 Export Compliance
You represent that you are not located in a country subject to export restrictions or government sanctions, and you will comply with all applicable export control laws and regulations.
14.9 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
