Shelf Registration Statement (S-3) SEC Filing API
Form S-3 is a short-form registration statement available to seasoned issuers that have a track record of timely SEC reporting and meet a minimum public float threshold. It allows shelf registrations under Rule 415, meaning issuers can register securities once and offer them in multiple tranches over up to three years. S-3 filings underpin most secondary equity offerings, debt offerings, ATM programs, and mixed shelves by large public companies. They are a leading indicator of capital-raising intent. The SEC Filing API returns S-3 filing URLs and dates for any company by ticker.
